Terms of Service

Welcome to Dune Music Group. These Terms of Service ("TOS") govern your access to and use of the services provided by Dune Music Group ("Company", "we", "us"), including our websites, the Artist Portal, the Admin Console, and our specialized programs: Dune ONE, Bookings Pass, Label Plan, and Dune Studios (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Services.

1. Definitions

  • "Portal" refers to the Dune Music Group Artist Portal and Admin Console, accessible via web and mobile browsers.
  • "User" refers to any individual or entity that accesses or uses the Services, including Artists, Managers, and Team Members.
  • "Content" means music, audio, video, images, text, and other data that you upload, import, or create using the Services.
  • "Passes" refers to subscription-based access tiers, specifically the Local Pass and Global Pass.
  • "Wallet" refers to the digital ledger within the Portal tracking your income, expenses, and payouts.

2. Use of the Services

2.1 Eligibility

You must be at least 18 years old to use the Services. By agreeing to these Terms, you represent and warrant that you have the legal capacity to enter into a binding contract.

2.2 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes (managing your music career or label).

2.3 Acceptable Use

You agree not to:

  • Use the Services for any illegal purpose or in violation of any local, state, national, or international law.
  • Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Portal.
  • Abuse "Unlimited" features (such as file storage or task creation) in a manner that burdens our infrastructure unreasonably.
  • Upload malicious code, viruses, or harmful data.

2.4 Professional Conduct & Communication Policy

Users agree to maintain professional conduct in all communications. The Company reserves the right to restrict communication to specific channels (e.g., the Portal or Email) and specific business hours. Harassment, verbal abuse, or unreasonable demands on personnel may result in immediate account suspension without refund.

2.5 No Guarantee of Results

While the Company provides tools and management support, we do not guarantee specific outcomes, including but not limited to: securing bookings, a specific number of streams, or career advancement. Success in the music industry is subject to market variables beyond our control.

3. Account Registration & Security

3.1 Account Creation

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during the registration process. Accounts are categorized as "Artist" or "Admin" with varying levels of access.

3.2 Security

You are responsible for safeguarding your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. We may enforce a password reset ("must_change_password") if we detect suspicious activity or for initial account setup.

3.3 Team Access

The Portal allows you to invite Team Members (e.g., Managers, Agents) to your account. You are responsible for the actions of any users you authorize to access your account.

4. Subscriptions & Billing

4.1 Subscription Tiers

We offer various subscription tiers, including:

  • Dune ONE: Comprehensive management services.
  • Bookings Pass: Access to booking agents and gig opportunities (Local and Global tiers).
  • Label Plan: Infrastructure for record labels.

4.2 Billing and Payment

Services are billed on a recurring basis (monthly or annually) via our third-party payment processor, Stripe. By subscribing, you authorize us to charge your payment method for the applicable fees. Fees are non-refundable unless otherwise required by law.

4.3 Cancellation

You may cancel your subscription at any time via the Portal settings. To avoid being charged for the next billing cycle, you must cancel at least 14 days before your renewal date. Upon cancellation, your access to premium features will cease at the end of the current billing period.

4.4 Termination for Breach

We reserve the right to terminate or suspend your account and access to Services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms or non-payment of fees.

5. Financial Services

5.1 Wallet & Transactions

The Portal includes a "Wallet" feature that tracks financial transactions related to your music career. Positive balances represent funds owed to you (e.g., Royalties), while negative transactions represent expenses (e.g., Marketing spend, Recoupable advances).

5.2 Payouts

You may request a payout of your available positive balance at any time through the Portal. Payouts are processed manually and subject to security reviews. We reserve the right to withhold payouts in cases of suspected fraud or copyright infringement.

5.3 Royalties

We ingest royalty data from various sources. While we strive for accuracy, you acknowledge that royalty reporting depends on third-party data. We are not liable for discrepancies originating from DSPs (Digital Service Providers) or collection societies.

6. Intellectual Property

6.1 Our IP

The Services, including the "Dune Music Group" name, logo, Portal design, and underlying technology, are the exclusive property of Dune Music Group and its licensors.

6.2 Feedback

If you provide feedback or suggestions regarding the Services, you grant us an unlimited, irrevocable, perpetual, sublicensable, royalty-free license to use such feedback for any purpose without any obligation to you.

7. User Content

7.1 Ownership

You retain full ownership of the Content you upload to the Services (e.g., your music, artwork, bio). We do not claim ownership rights in your Content.

7.2 License to Distribute

By uploading Content for distribution or promotion, you grant us a worldwide, non-exclusive, royalty-free license to host, store, transfer, display, perform, reproduce, and distribute your Content as necessary to provide the Services (e.g., delivering tracks to Spotify, displaying your EPK to venues).

7.3 Storage

We use third-party storage providers (e.g., Cloudflare R2) to host your files. While we implement redundancy, we recommend you maintain your own backups. We are not liable for any loss of data.

8. Indemnification

You agree to indemnify and hold harmless Dune Music Group, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected with (a) your access to or use of the Services; (b) your violation of these Terms; or (c) your Content.

9. Disclaimer of Warranties

The Services are provided "AS IS" and "AS AVAILABLE." The Company disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DUNE MUSIC GROUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICES.

11. Force Majeure

The Company is not liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to third-party manufacturer shutdowns, studio backlogs, platform outages (Spotify/Apple), or acts of God.

12. Independent Contractor Relationship

Nothing in these Terms creates an employer-employee relationship. Dune Music Group acts as an independent contractor. The User remains responsible for their own tax, insurance, and legal obligations as a self-employed artist.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in Johannesburg, South Africa.

14. Changes to Terms

We may modify these Terms at any time. We will post the most current version on our website. If a modification is material, we will notify you via email or the Portal. By continuing to use the Services after changes become effective, you agree to be bound by the revised Terms.
